Terms of Service

1. Acceptance of Terms

By accessing and using the Advising Alpha website and services (collectively, the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

2. Description of Service

Advising Alpha provides model portfolio information and analysis built from our investment research process. The Service displays:

• Historical performance metrics (CAGR, Sharpe ratio, alpha generation, drawdown analysis)
• Model portfolio composition and allocation strategies
• Backtested performance data and returns analysis
• Periodic rebalancing recommendations and trade lists
• Portfolio-related educational and analytical content

IMPORTANT: The Service provides model portfolio information for informational and educational purposes only. It does NOT constitute investment advice, a recommendation to buy or sell any security, or personalized financial advice. See Section 3 below.

4. Subscription and Billing

Free Tier: Access to certain model portfolio performance data, historical charts, and basic analytics at no cost.

Pro Tier: Full access to all holdings, position weights, rebalancing trade lists, and premium features:

• Pricing: $99 per month (monthly billing) or $899 per year (annual billing)
• Annual subscriptions provide a discount equivalent to approximately 2.4 months of free service
• Your subscription will automatically renew on the same billing cycle unless you cancel
• Billing occurs on your renewal date each month or year

Cancellation: You may cancel your Pro subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months or years. Upon cancellation, your access to Pro features terminates at the end of the paid period.

Payment Processing: Payment is processed securely via Stripe. Your payment information is never stored on Advising Alpha's servers.

Price Changes: We reserve the right to change subscription pricing with 30 days' notice. Price increases apply to new billing cycles only. We will notify you of any changes to your subscription terms.

5. User Accounts and Responsibilities

If you create an account on the Service, you are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the confidentiality of your password and account information
• Notifying us immediately of any unauthorized use of your account
• Being responsible for all activity that occurs under your account
• Complying with all applicable laws and regulations

We reserve the right to terminate any account that we believe violates these Terms or is being used inappropriately.

6. Intellectual Property

All content, methodology, model portfolios, analysis, and proprietary research presented on the Service (including text, graphics, logos, images, data compilations, and software) are the exclusive intellectual property of Advising Alpha or licensed content from third parties.

You are granted a limited, non-exclusive, non-transferable license to view and access content for personal, non-commercial use only, subject to these Terms. You may not:

• Reproduce, distribute, or transmit any content without permission
• Create derivative works based on our portfolios, methodology, or analysis
• Use model portfolios for commercial purposes or resale
• Reverse engineer, decompile, or attempt to derive our proprietary research methodology
• Remove or alter any copyright, trademark, or proprietary notices

Unauthorized use of our intellectual property is a violation of these Terms and applicable law.

7. No Guarantee of Returns

You acknowledge and understand that:

• Model portfolio performance is NOT guaranteed in the future
• Past performance is not indicative of future results
• Backtested returns are hypothetical and based on historical data — actual results may differ materially
• All investments carry risk, including the potential loss of your entire principal investment
• Market conditions, volatility, and economic factors may negatively impact portfolio performance at any time

We provide no warranty, express or implied, regarding future performance of any model portfolio.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISING ALPHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use
• Losses arising from investment decisions based on the Service
• Market losses, declining security prices, or poor portfolio performance
• Business interruption, system outages, or service unavailability
• Any other indirect or consequential damages

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid for Pro access in the 12 months preceding the claim (or $100, whichever is greater).

9. Modification of Terms

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically for updates.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be reformed to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force and effect.
